1. GENERAL PROVISIONS
1.1. The B2b platform available at the Internet address https//b2b.alberomio.pl is run by KMH Marlena
Klupś, address of the place of business and delivery address: ul. Warszawska 9, 63-820 Piaski, NIP
6961281701, REGON 411421605, e-mail address: b2b@alberomio.pl, telephone number: +48 607
814 477.
1.2. These Regulations are addressed to customers using the B2b Platform.
1.3. The administrator of the Customers' personal data provided to the Seller voluntarily as part of the
Registration is KMH Marlena Klupś.
1.3.1. Personal data provided to the Seller are provided to him voluntarily, failure to provide the data
specified in the Regulations in the Registration process prevents Registration and setting up a Customer
Account and prevents the submission and execution of the Customer's order.
1.3.2. Anyone who provides the Seller with their personal data has the right to access their content and
to correct and delete them. 1.3.3. The seller does not transfer, sell or lend the collected personal data of
customers to other persons or institutions.
1.3.4. The Seller uses the mechanism of "cookies", which, when the Customers use the Websites of the
B2B Platform, are saved by the Seller's server on the Customer's device disk.
1.4. 1. WORKING DAY - one day from Monday to Friday, excluding public holidays.
1.4.2. REGISTRATION FORM - a form available on the B2b Platform that allows you to create an Account.
1.4.3. ORDER FORM - Electronic Service, an interactive form available on the B2b Platform that allows you
to place an Order, in particular by adding Products to the electronic basket and specifying the terms of
the Sales Agreement, including the method of delivery and payment.
1.4.4. ACCOUNT - Electronic Service, marked with an individual name (login) and password provided by
the Service Recipient.
1.4.5. PRODUCT - a item available on the B2b Platform, which is the subject of the Sales Agreement
between the Customer and the Seller.
1.4.6. ORDER - Customer's declaration of will submitted via the Order Form and aimed directly at
concluding a Product Sales Agreement with the Seller.
2. ELECTRONIC SERVICES ON THE B2B PLATFORM
2.1.The following Electronic Services are available on the B2b platform: Account, Order Form and
Newsletter.
2.1.1 Account - the use of the Account is possible after completing a total of two subsequent steps by the
Service Recipient - (1) completing the Registration Form, (2) clicking the "Register" field. In the Registration
Form, it is necessary for the Service Recipient to provide the following data of the Service Recipient:
company name, address (street, number, postal code, city, country), tax identification number, e-mail
address, contact telephone number. Only a person runninga business with an active NIP number can be a
client on the B2b platform. After confirming the customer data sent in the form, the administrator of the
B2b Platform creates a customer account. A message with the login and password is sent to the e-mail
address provided.
2.1.2. The Electronic Account Service is provided free of charge for an indefinite period. The Service
Recipient has the option of deleting the Account by sending information to the Service Provider at the
following address: b2b@alberomio.pl.
2.1.3. Order Form - Placing an Order takes place after the Customer completes a total of two consecutive
steps - (1) after completing the Order Form and (2) clicking "ORDER".
2.1.4. Newsletter - the use of the Newsletter takes place after providing the e-mail address in the
"Newsletter" tab visible on the B2b Platform page, to which subsequent editions of the Newsletter are to
be sent and clicking "Subscribe".
3. CONDITIONS OF THE SALES AGREEMENT
3.1.The conclusion of the Sales Agreement between the Customer and the Seller takes place after the
Customer places an Order using the Order Form on the B2b Platform.
3.2. The price of the Product visible on the B2b Platform website is given in Polish PLN in the net amount
or in EUR.
3.3 Prices include individual customer discounts. Individual discounts are determined each time the order
is processed. Prices are visible to the customer after logging in to the b2b platform. KMH Marlena Klupś is
not responsible for the lack of products on offer, for downtime in the possibility of placing orders, as well
as for changes in product prices.
3.4. Only registered customers can place orders.
3.5. KMH Marlena Klupś reserves the right to refuse to accept an order in the event of overdue obligations
of the contractor. The customer will be informed about the cancellation of the order.
3.6. The form and terms of payment are determined individually for each customer after registration.
3.7. The conclusion of the Sales Agreement between the Customer and the Seller takes place after the
Customer has placed an Order on the B2b Platform. After placing the Order, the Seller confirms its receipt
and accepts the Order for execution.
4. PRODUCT PAYMENT TERMS
4.1. The Seller provides the Customer with the following payment methods under the Sales Agreement:
4.1.1. Payment by bank transfer to the Seller's bank account.
4.1.2. Trade credit previously established by the Seller. If the payment deadline is exceeded, the Seller of
KMH Marlena Klupś has the right to suspend the execution of orders.
4.2. In the case of payment in the form of prepayment, the order will be processed after KMH Marlena
Klupś registers the payment based on the proforma.
4.3. Payment term: Set individually with the client.
5. COSTS, METHODS AND DATE OF DELIVERY AND PICK UP OF THE PRODUCT
5.1. Delivery of the Product to the Customer is payable, unless the Sales Agreement provides otherwise.
These conditions are agreed individually between the seller and the customer.
5.2. The date of delivery of the Product to the Customer is determined individually, depending on the size
of the order.
5.3. All products presented on the B2b.alberomio.pl platform are in constant sale. The b2b.alberomio.pl
platform does not provide current stock levels of products.
5.4. The Customer will be additionally informed by the Seller about the readiness of the Product for
collection.
5.5. KMH Marlena Klupś issues a VAT invoice for the purchased goods.
6. PRODUCT COMPLAINT
6.1. The Seller is obliged to deliver the Product to the Customer without defects.
6.2. A complaint may be submitted by the Customer in electronic form via e-mail to the following address:
sprzedaz@alberomio.pl.
6.3. It is recommended that the Customer provide in the description of the complaint: (1) information and
circumstances regarding the subject of the complaint, in particular the type and date of the defect; (2)
sending a photograph of the advertised product; (3) demand how to bring the Product into compliance
with the Sales Agreement or a statement on price reduction or withdrawal from the Sales Agreement.
6.4. The Seller will respond to the Customer's complaint immediately, no later than within 14 calendar days
from the date of its submission.
7. LIABILITY
7.1. The Seller is liable for non-performance or improper performance of its obligations only in the event
of intentional damage and within the limits of the losses actually incurred by the Customer. The Seller's
liability is limited to the value of the Order in connection with which the damage occurred.
7.2. In particular, the Seller shall not be liable for damages resulting from: force majeure, culpable action
or omission of the aggrieved party, culpable action of a third party, the Customer's failure to comply with
the technical requirements necessary to cooperate with the Seller's ICT system, inability to access the B2b
Platform.
7.3. The Customer bears full responsibility for any consequences resulting from improper or inconsistent
with the Regulations placing the Order by the Customer, including the indication of incorrect data in the
registration form. The seller will not be obliged to repair damage caused during transport and those that
have not been previously reported in the form of an e-mail notification.
8. RETURN OF NEW GOODS
8.1. The customer may return the new goods, except for situations covered by the warranty - in the case
of obtaining the written consent of KMH Marlena Klupś. The Seller may grant such consent if the goods
have not been used and do not show features of individual adaptation to the requirements of the
Counterparty, have intact packaging, and have been returned within 7 days of delivery. If KMH Marlena
Klupś agrees to return the goods, KMH Marlena Klupś shall not bear any costs in this respect, in particular
the costs of the return delivery of the goods.
8.2. After returning KMH, Marlena Klupś will inspect the goods and make a decision on:
8.2.1. return to the customer the value of the returned goods
8.2.2. refuses to accept the returned goods and informs about the method of its collection
8.2.3. exchange of the returned goods for another.
9. FINAL PROVISIONS
9.1. The Regulations are effective from the date of publication on the B2B Platform Website and replace
the previously applicable B2B Platform regulations.
9.2. The content of these Regulations may be recorded by printing, saving on a carrier or downloading at
any time from the B2B Platform Websites.
9. 3. The Regulations may change.
9. 4. Notification of the amendment to the Regulations in the manner specified above will be made no
later than 7 (seven) Business Days before the introduction of the amended Regulations.
9.5. All orders accepted by the Store for execution before the date of amendment to the Regulations are
implemented on the basis of the regulations that were in force on the date of placing the order by the
Customer.
9.6. In the event of a dispute arising on the basis of the concluded Sales Agreement, the parties will strive
to resolve the matter amicably. The applicable law for resolving any disputes arising from these Terms and
Conditions is the applicable law.
9.7. The Regulations are valid from 01.06.2022.
